If you do not agree to these Terms, then you are not authorized to use this Web Site nor register as a User. CPACareerNet (the “Company”) reserves the right, at its discretion, to change, modify, add or remove portions of these Terms at any time. You should review this page periodically to ensure your understanding and acceptance of the Terms because they are binding on you. If any future changes to the Terms are unacceptable to you, you must discontinue use of the Web Site. The terms “You” and “User” as used in these Terms refer to all individuals and/or entities accessing this Web Site for any reason. The terms “We,” “Us” and “Our” as used in these Terms refer to CPACareerNet.

Use of Site Content

Certain of the information (“Proprietary Information”) contained in this Web Site including text, images, logos, photographs, video and audio clips and other writings are protected under both United States and foreign copyright, trademark, service mark and other laws. The collection, arrangement and presentation of all content on this Web Site is the exclusive property of the Company and protected by U.S. and international copyright laws. CPACareerNet grants to You permission to display, copy, distribute, download and print in hard copy portions of this Web Site solely for the purposes of using this Web Site as a business resource or transacting business using the Web Site.

You may not copy or adapt any of the HTML code that the Company has created to generate or display its pages. This code is protected under the Company’s copyright.

Acceptable Use

Only individuals seeking employment and/or career information or subscribers seeking employees may use CPACareerNet. All other uses are specifically prohibited.

You agree to use CPACareerNet services in a manner consistent with any and all applicable laws and regulations. Any action by You that, in the Company’s sole opinion, restricts or inhibits other Users from using and enjoying CPACareerNet services is strictly prohibited. You agree not to submit, publish or display on or through the Web Site any defamatory, inaccurate, abusive, obscene, profane, sexually oriented, threatening, illegal or otherwise offensive material nor encourage the commission of any criminal or illegal act or the use of controlled substances.

Users are prohibited from violating or attempting to violate the security of the Web Site or interfering with the legal operation of the Web Site, including, without limitation:

User Information

When You register on the Web Site, You will be asked to provide the Company with certain personally identifiable information (PII), including, but not necessarily limited to, a valid e-mail address. The use of PII by the Company shall be governed by the Company's Privacy Policy as set forth on the Web Site and as may be amended from time to time. The Company may take any action with respect to User-submitted information that it deems necessary or appropriate in its sole discretion if it believes it may create liability for the Company or may cause the Company to lose (in whole or in part) the services of its affiliates.

Provider Services

When You, as a User, enter into transactions with other service providers on the Web Site, You agree that You are responsible for all agreements that You enter into for products or services with the service providers who participate on the Web Site. Each service providers' products or services are available at the prices, terms and conditions established by that service provider. It is your responsibility to enter into the appropriate agreements for the products and services that You want with the respective service providers and to be bound by the terms and conditions of those agreements.

The Web Site provides a venue for exchanging information between its affiliates and Users; however, CPACareerNet is not involved in the actual transactions between affiliates and Users. CPACareerNet does not act as a buyer, broker or seller of any affiliate's product or service. We will only post information provided to enable Our affiliates and Users to conclude transactions or arrangements, if they so choose, with each other. We do not verify to anyone that the information provided to Us by an affiliate is accurate or that the exchange of information and terms between affiliates and Users via the Web Site will create any legally binding contracts between or among the affiliates and Users. You hereby acknowledge and agree that CPACareerNet is merely a publisher of the affiliate's information and does not guarantee or become responsible for any obligation arising out of any transaction nor provide any assurance that any transaction will be concluded.

CPACareerNet does not have or exert any editorial control over the content of the Web pages of the affiliates that are part of the Web Site. You agree that CPACareerNet is not responsible or liable to You or any other party for the content on the Web Site of any affiliate or for the actions or infringement by any affiliate or such Web page or content, and You release CPACareerNet from all such liability. You agree to look solely to the affiliate for any loss arising from a affiliate or a transaction with an affiliate.

Termination of Users or Subscribers

Except as expressly provided herein by these Terms, neither the Company and/or its affiliates nor any third party has conferred upon You, by implication, estoppels or otherwise, any license or right under any patent, trademark, service mark or other proprietary rights to use the site or any of the contents on the Web Site. No ownership rights are or will be assigned to You by printing or downloading any of the information or making use of any services on the Web Site.

CPACareerNet respects the intellectual property of others and will not tolerate copyright infringement. We ask Our Users, subscribers and service partners to do the same. The unauthorized reproduction, copying, distribution, modification, public display or public performance of copyrighted works constitutes infringement of the copyright owners’ rights. As a condition to your use of this Web Site, You agree not to use the Web Site to infringe the intellectual property rights of others in any way. CPACareerNet reserves the right to terminate the accounts of any Users or subscribers, and block access to the Web Site of any Users or subscribers, who infringe on the copyrights or other intellectual property rights of others. We reserve the right to take these actions at any time in Our sole discretion, with or without notice, and without any liability to the User or subscriber who is terminated or to the User or subscriber whose access is blocked.

You may terminate your association with CPACareerNet at any time, for any reason or for no reason, by sending written notice to CPACareerNet. You will be liable for any charges incurred by your use of the Web Site until the effective date of such termination. Termination by You will be effective the day CPACareerNet receives notice or on a future date if the notice so specifies. Any amounts paid for future use of the Web Site or future CPACareerNet services will be deducted from the amount owed, if any, and the balance refunded to You.

Company Liability

cpacareernet.com is only a venue. The Web Site acts as a venue for subscribers to post job opportunities and potential applicants to post resumes and apply for available positions. The Company does not screen or censor the posted information and is not involved in the actual transaction between subscribers and applicants. For this reason, the Company has no control over the quality, safety or legality of the jobs or resumes posted, the truth or accuracy of the listings, the ability of subscribers to offer job opportunities to applicants or the ability of applicants to fill job openings. You assume all risks associated with dealing with other Users with whom You come in contact through the Web Site.

Because User authentication on the Internet is difficult, the Company cannot and does not confirm that Users are who they claim to be. Because We do not and cannot be involved in User-to-User dealings or control the behavior of participants on the Web Site, in the event that You have a dispute with one or more Users, You release the Company (and Our agents and employees) from claims, demands and damages (actual and consequential, direct and indirect) of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with such disputes. If You are a California resident, You waive California Civil Code §1542, which states: "A general release does not extend to claims which the creditor does not know or suspect to exist in his favor at the time of executing the release, which if known by him must have materially affected his settlement with the debtor."

You acknowledge that We are under no legal obligation to, and generally do not, control the information provided by other Users that is made available through the Web Site. The Company is not to be considered to be a subscriber with respect to your use of the Web Site, and the Company shall not be responsible for any employment decisions, made for whatever reason, by any entity posting jobs on the Web Site.

The Company does not warrant that the Web Site will operate error-free or that the Web Site and its server are free of computer viruses or other harmful mechanisms. If your use of the Web Site or the material results in the need for servicing or replacing equipment or data, the Company is not responsible for those costs.

The Web Site and material are provided on an “as is” basis without any warranties of any kind. The Company, to the fullest extent permitted by law, disclaims all warranties, whether express or implied, including the warranties of merchantability, fitness for a particular purpose and non-infringement. The Company makes no warranties about the accuracy, reliability, completeness or timeliness of the material, services, software, text, graphics and links.

Disclaimer of Consequential Damages

In no event shall the Company, its suppliers or any third parties mentioned on the Web Site be liable for any damages whatsoever (including, without limitation, incidental and consequential damages, lost profits or damages resulting from lost data or business interruption) resulting from the use or inability to use the Web Site and the material, whether based on warranty, contract, tort or any other legal theory, and whether or not the Company is advised of the possibility of such damages.

The Web Site contains links to third-party sites that are not under the control of CPACareerNet, and the Company is not responsible for any content on any linked site. If You access a third-party site from the Web Site, then You do so at your own risk. The Company provides links only as a convenience, and the inclusion of the link does not imply that the Company endorses or accepts any responsibility for the content on those third-party sites.

No Resale or Unauthorized Commercial Use

You agree not to resell or assign your rights or obligations under these Terms. You also agree not to make any unauthorized commercial use of the Web Site.

Other Provisions

These Terms, as amended, your registration forms, the disclosures provided by CPACareerNet and the consents provided by You constitute the entire agreement between You and the Company, and no representations, statements or inducements, oral or written, not contained in these Terms shall bind either You or Us. CPACareerNet will have the right at any time to change or modify these Terms or to impose new conditions, including (but not limited to) adding fees and charges for use. Such changes, modifications, additions or deletions shall be effective immediately upon being posted on this Web page. Any use by You of this Web Site or its contents after such notice shall be deemed to constitute acceptance by You of such changes, modifications or additions.

The Company makes no claims that the materials may be lawfully viewed or downloaded outside of the United States. Access to the materials may not be legal by certain persons or in certain countries. If You access the Web Site from outside of the United States, You do so at your own risk and are responsible for compliance with the laws of your jurisdiction.

You agree that, in the event any part of these Terms should, for any reason, be declared unenforceable or invalid by a court of competent jurisdiction, under the laws of any jurisdiction where enforcement is sought, then (a) such part shall be deemed severable from the remaining provisions and the determination shall not affect the validity of any other provision of this agreement or the validity or enforceability of this agreement; and (b) such determination shall not affect the enforcement or validity of such provision in any other jurisdiction. CPACareerNet's failure to act with respect to a breach by You or others does not waive the Company's right to act with respect to subsequent or similar breaches.

Exclusive Jurisdiction

You agree that these Terms shall be governed by the laws of the State of Florida without regard to its conflict of law provisions. Any disputes arising under, or related in any way to these Terms or the Web Site shall be litigated or otherwise heard in the appropriate forum in Florida. The parties hereto hereby consent to jurisdiction over them in any state or federal court sitting in the County of Alachua, Florida, and hereby waive any claim or defense that such forum is not convenient or proper and consent to service of process by any means authorized by Florida law.

Ownership

The Web Site and related information are the exclusive property of CPACareerNet or its suppliers. All rights not licensed herein are hereby reserved to CPACareerNet or its suppliers.
